Here's a technical answer.
Lookups live in APPLSYS.FND_LOOKUP_VALUES.
Value sets live in a combination of tables:- APPLSYS.FND_FLEX_VALUE_SETS
- APPLSYS.FND_FLEX_VALUES
- APPLSYS.FND_FLEX_VALUES_TL
For more information, and if you have access to MetaLink, click here and select the Product FND - Application Object Library, Object Name like FND%VALUE%, and Object Type TABLE, and then click "Submit".

From a more functional perspective it can be noted that value sets are used in conjunction with descriptive and key flex fields, whereas lookups are used in the fields where Oracle has determined the type of content.
Lookups are always a list of values, usually a relatively short one. Value sets can be more varied. You can opt to create them as free form text or numbers, as a list of values, as a list of values depending on some other value, as a list of values based on a query or as free form text to be validated using PL/SQL.
